 Seller's Information

To list your business for sale with RENWICK Business Brokers, we require the following documentation and information from you:

  • Our detailed and confidential "Mandate to Sell" document which can be faxed or e-mailed to you for completion.
  • A detailed Asset Register reflecting the second hand  value of such assets (not the balance sheet depreciated value or  the replacement value).
  • The last 2 years Financial Statements for your  business (signed by the Seller & Accountant).
  • The last 2 years VAT Returns.
  • The last 12 months Management Accounts (excluding  your personal expenses).
  • A copy of all licences necessary to run your business.
  • A few photographs of the business (optional).
  • A copy of your present Lease Agreement.
  • A copy of your Franchise Agreement (if applicable)

Very Important:

Should you not be in a position to fax or email the above information to us, and your business is located within 100 kms from one of our outlets, please give us a call and we will arrange for a representative to call on you.

Buyer's Information

RENWICK Business Brokers is the only brokerage that offers a FULL business broking service. Our services to you as the prospective Purchaser of a business include the following precautionary undertakings to assist and facilitate in the submission of loan funding applications but more importantly, for your protection.

  • Drafting of Memorandum of Agreement
  • Obtaining a Schedule of Assets from the Seller
  • Assistance with the preliminary Business Plan
  • Assistance with the preliminary Cash Flow Projections
  • Buyers Checklist (optional)
  • The collation of recent  History of Revenue & Expenditure of Business
  • Obtaining Financial Statements
  • VAT Returns and  Management Accounts
  • Obtaining of copy of current Lease Agreement and licences
  • Assistance with the assessment and authentication of profitability
  • Continuous interaction between the Buyer, Seller and Financial Institution

THE KHULA INDEMNITY SCHEME:

  • KHULA is a limited company and not a Government organization.
  • It is an empowerment  mechanism, not an enrichment mechanism.

Who qualifies?

Any South African Citizen who is wishing to go into business, or previously may have owned or sold a business.

The qualifying Criteria is as follows:

  • The applicant must be the Owner/Manager of the Business.
  • The Business must be within the borders of South Africa.
  • The Business must be economically viable and have profit motive.
  • The applicant must have a sufficient level of skill and experience directly related to the business, or alternatively must have access to such skills.
  • The applicant must have a minimum of 20% own contribution either in cash or in redeemable assets.

KHULA will provide 80% unsecured collateral on commercial business up to a maximum of R1 million i.e. R800k, and up to a maximum of R1 million on a manufacturing business i.e. a maximum selling price of R1.25 million.

EXAMPLE OF TYPICAL STRUCTURE:

Business purchase price: R750,000.00
Purchaser contribution: R150,000.00
Loan-funding required: R600,000.00
KHULU 80% Loan: R480,000.00 (unsecured)
Bank Risk: R120,000.00

 
The bank will now look to the Purchaser for collateral cover in the form of notarial bonds on assets of Business and/or properties as well as surrender values on insurance and/or investment policies to minimize their risk.
